Section · Chapter 1

Acceptance of the terms

By creating an account or using the Nythy application, you acknowledge that you have read, understood and unreservedly accepted these Terms of Use.

Contractual value

These Terms constitute a legally binding contract between you and Nythy SASU and govern the conditions of access and use of the application.

Anti-waste commitment

The use of Nythy is part of a collective effort to fight food waste, which each user commits to respecting in a responsible and loyal manner.

Legal capacity

You declare that you have the legal capacity necessary to accept these Terms. If you are acting on behalf of a legal entity, you declare that you are duly authorized to represent it.

Minimum age

The use of Nythy is reserved for persons aged at least 16 years. By using the application, you certify that you meet this condition.

If you are under 16 years of age, you must not use Nythy without parental or legal guardian authorization.

Modifications to the Terms

Continued use of the application after modifications to the Terms take effect constitutes acceptance of the updated Terms.

Acceptance process and proof

The user explicitly accepts these Terms by ticking a dedicated box during sign-up.

Proof of this acceptance (date, time, versions of the Terms and Privacy Policy) is recorded in your user account. For material updates, you may be required to accept again at sign-in.

Refusal of the Terms

If you disagree with these Terms, you must not use our services. Use of the service implies full and complete acceptance of the Terms.

Governing law and jurisdiction

These Terms are governed by French law. Any dispute relating to their interpretation or execution shall be submitted to the competent courts.

Section · Chapter 3

User account

3.1 Account creation

Consumer mobile app sign-up and login are exclusively via Google Sign-In or Sign in with Apple. Provide accurate profile information.

3.2 User profile

Your profile includes your personal information, photos, and preferences.

Customization

Nythy offers a follow system allowing you to follow other users and be followed.

3.3 Account security

You are responsible for all activity on your account. Report any unauthorized use.

Biometric authentication

You can enable app unlock via fingerprint or facial recognition. This biometric data is stored locally on your device and is never transmitted to Nythy.

Session management

You can view and manage your active sessions, trusted devices, and login history from the security settings.

Compromised account

If you suspect hacking, contact [email protected] immediately. We will temporarily suspend your account while securing access.

3.4 User preferences

You can personalize your experience through various preferences.

3.5 Minimum age

The use of Nythy is reserved for persons aged at least 16 years.

When creating an account, you are required to explicitly certify that you are at least 16 years old. Nythy does not perform any technical age verification (no identity document check): this measure relies on your statement of honor.

3.6 Account deletion

You can delete your account at any time via Settings > Account > Delete my account.

Deletion leads to erasure of your personal data within 30 days, except where retention is legally required.

Before deleting your account, you can download a copy of your data via Settings > Security > Data & privacy.

Section · Chapter 4

Acceptable use

You agree not to:

Violate applicable laws
Publish offensive, defamatory, or discriminatory content
Harass other users or merchants
Impersonate others
Access the system without authorization
Use robots, scripts, or automated tools
Transmit viruses or malware
Spam or send unsolicited messages
Bypass anti-fraud or security systems
Automate reservations for resale
Create fake merchant accounts
Post fake reviews or defame merchants
Use a VPN to manipulate geolocation
Scrape or extract platform data

Messaging rules

Use of the messaging service is subject to the following rules:

Harass, threaten, or intimidate other users through messages
Send unsolicited commercial messages (spam)
Share inappropriate, offensive, or illegal content
Impersonate a merchant or another user
Spread false information about offers or merchants
Use messaging for purposes unrelated to Nythy
Contact minors inappropriately
Share other users' personal data without consent
Group chats
  • •The creator of a group is responsible for ensuring rules are followed
  • •Administrators may moderate members and messages
  • •Content shared in groups is subject to the same rules as private messages
  • •Nythy may suspend or delete a group in case of Terms violation
Media sharing
  • •Shared files must comply with applicable laws
  • •Sharing copyrighted content without authorization is prohibited
  • •Images must not contain explicit or shocking content
  • •Maximum file size: according to app technical limits
Message moderation

Nythy may access reported messages for moderation purposes, in compliance with the DSA. Deleted messages may be retained as evidence in case of disputes.

Any user can report an inappropriate message. Reports are processed within 48 business hours.

User content

Content published by users (reviews, comments, messages, shared media) must comply with the law and our internal rules. It remains the property of its authors but may be moderated or removed if illegal or contrary to these terms.

Section · Chapter 6

Offers and transactions

Offers are proposed by merchants. Nythy acts as an online platform operator and matchmaking intermediary (art. L.111-7 of the French Consumer Code), not as a seller. The sales contract is concluded directly between you and the merchant. Nythy only provides matchmaking and collects payment as an intermediary, via Stripe Connect, on behalf of the merchant; we may help facilitate an amicable resolution in case of a persistent dispute.

Important:

Nythy is a matchmaking platform. Sales contracts are concluded directly between you and the merchant.

Nythy is not the seller of the products. The sales contract is exclusively between you and the merchant.

Cancellation

From you: You may cancel a reservation without penalty as long as the merchant has not prepared your order. Once the order has been prepared, cancellation must go through the merchant or our support team.

From the merchant: The merchant may cancel if unavailable. You will be notified immediately and fully refunded.

In case of repeated no-shows without cancellation, your account may be suspended.

Food safety

Allergen information is provided by the merchant and remains their responsibility. When in doubt, ask the merchant directly before consuming.
Anti-waste products have a limited lifespan. Consume them quickly after pickup.

The accuracy of allergen information is the responsibility of the merchant who provides it. Nythy cannot be held liable for any inaccuracy in this information.

Pricing and billing

All displayed prices are in euros including VAT.
Payment is fully prepaid online via our secure payment provider Stripe at the time of booking. Pickup then takes place at the merchant upon presentation of your pickup code: no payment is due in store.

Nythy Credit

Nythy provides internal credit that can only be used to reduce the amount of your anti-waste purchases in the app.

Nature of credit: Nythy Credit is a commercial benefit granted by Nythy, usable exclusively within the app. It is neither electronic money within the meaning of Article L.315-1 of the French Monetary and Financial Code, nor a payment instrument.
Sources: conversion of your pépites (virtual currency earned through gamification) and the referral program.
Conversion unlock: converting pépites into Nythy Credit is only available after your first completed anti-waste purchase (same rule as unlocking your referral code).
Usage cap: credit applies up to €0.80 per order; any unused balance is not lost and remains available for your next orders.
Payment activation: you choose whether to apply your credit when paying; the amount actually deducted is calculated by Nythy within the usage cap.
Personal use: Nythy Credit is strictly personal. It cannot be withdrawn to a bank account, transferred to another user, or exchanged for cash.
Restoration: if an order eligible for a refund is cancelled, any Nythy Credit used on that order is restored to your balance.
Clawback: referral credit may be cancelled if the order that triggered it is cancelled, refunded, or subject to a bank dispute.
Validity: Nythy Credit does not expire while your account remains active.
Account deletion: deleting your account permanently forfeits any Nythy Credit and unconverted pépites, without compensation.

Credit terms (pépites conversion rate, per-order cap, referral amounts) may change. Any material unfavorable change will be communicated with reasonable notice through these Terms or the app.

Refunds

Cancelling a paid order that the merchant has not yet prepared triggers an automatic full refund to the payment method used (bank processing time: typically a few business days depending on your bank). Once the order has been prepared, any cancellation or refund request must go through the merchant or our support team. For difficulties or persistent disputes: [email protected].

Fraud and abuse

In case of fraudulent or abusive behavior (including: multiple accounts, misuse of the referral program or Nythy Credit, abusive reservations, product resale, false reports), Nythy reserves the right to suspend or close the account concerned and cancel any Nythy Credit, pépites, or benefit obtained fraudulently.

Section · Chapter 7

Intellectual property

The Nythy application, its content and technology are protected by French and international intellectual property laws.

Nythy's property

The following elements are the exclusive property of Nythy SASU:

©The application source code (mobile and web)
©The design, user interface and user experience
©Texts, images and content created by Nythy
©Databases and their structure
©Algorithms and developed technologies

These elements are protected by copyright, trademark law and sui generis database rights.

License to use

By using Nythy, you are granted a license that is:

Non-exclusive
Personal and non-transferable
Revocable at any time
Limited to normal use of the application

This license does not grant you any ownership rights over the application or its content.

User-generated content

You remain the owner of the content you publish on Nythy (photos, texts, recipes, etc.).

License granted to Nythy

By publishing content, you grant Nythy a license that is:

•Non-exclusive, worldwide and royalty-free
•For the duration of your use of the service
•Allowing exploitation of the content for the purposes of operating, improving and promoting the platform

You can delete your content at any time. The license ends upon deletion, except for copies already shared by other users.

Restrictions

It is strictly prohibited to:

Copy, modify or distribute Nythy content
Scrape or automatically extract data
Decompile, disassemble or reverse engineer
Use our APIs without prior written authorization
Reproduce our logos, trademarks or visual elements
Create derivative works based on the application

Any violation may result in civil and/or criminal prosecution.

Third-party content

Some content (product photos, descriptions) is provided by merchants or users. Nythy is not responsible for this content but commits to removing any content reported as infringing.

Hosting status (LCEN)

In accordance with Article 6 of French Law No. 2004-575 of June 21, 2004 on confidence in the digital economy (LCEN), Nythy acts as a host for content published by users.

Nythy does not exercise any prior control over this content.

Nythy commits to removing or making inaccessible any manifestly illegal content as soon as it becomes aware of it.

Data protection

Your personal data is processed in accordance with GDPR. You have the right to access, rectify, erase and object. For any request, contact us at [email protected]. Data export is available in Settings > Security > Data & privacy (enhanced verification, recent authentication and, where applicable, local biometric validation on your device).

Your data is processed in accordance with GDPR. You have rights of access, rectification, erasure, and objection.

Section · Chapter 9

Limitation of liability

The service is provided "as is", without guarantee of permanent availability. Nythy acts exclusively as a matchmaking platform and is not liable for indirect losses.

Nythy's role

Nythy is a matchmaking platform only:

→Between users and merchants (anti-waste offers)
→Between individuals (free gifts)

Nythy is neither a seller, nor a buyer, nor a party to exchanges between users.

Principes généraux

Nythy is not responsible for

Regarding merchants

Quality, freshness, or safety of products sold
Behavior, reliability, or solvency of merchants
Temporary or permanent closure of a professional activity
Inaccurate information (allergens, composition, dates)

Regarding gifts between individuals

Quality or freshness of donated products
Behavior of donors or recipients
Failure to keep pickup appointments
Consumption of expired or unfit products

In general

Loss or deletion of user content
Temporary unavailability of the application
Data loss due to technical failure

Force majeure

Nythy cannot be held liable in cases of force majeure: natural disaster, pandemic, war, government decision, widespread infrastructure outage.

Limited liability

Nythy's liability is strictly limited to proven direct damages, in case of fault duly established and directly attributable to Nythy. Nythy cannot under any circumstances be held liable for indirect damages.

Food safety

Food safety responsibility lies exclusively with the selling merchant or the individual donor.

The user is solely responsible for their decision to consume a product. If in doubt about the freshness or quality of a product, do not consume it.

If you notice a health or safety problem, you must report it immediately through the app. For a peer-to-peer gift, the recipient can report the received gift from the received donations page, in particular for an expired or non-compliant product. Nythy undertakes to review reports, remove or hide any listings still visible, and warn or suspend accounts in the event of proven danger.

Consumer rights

Nothing in these terms shall exclude or limit any liability that cannot be legally excluded or limited under French law.

Section · Chapter 10

Service changes

Nythy is a constantly evolving service. We reserve the right to modify, improve or adapt our platform to better meet our community's needs.

Types of possible changes

•Addition, modification or removal of features
•User interface and experience updates
•Change of technical partners or providers
•Evolution of abuse prevention and security rules
•Adjustment of usage limits

How you will be notified

Notification methods:

Publication on nythy.com for any Terms or service change
In the mobile app if the change directly affects you (e.g. re-acceptance at sign-in)
By email if the change has a significant impact on your rights

Minor changes (corrections, clarifications) may be published without individual notification.

Maintenance and updates

Website: scheduled maintenance is performed at night, between 3 AM and 6 AM (Paris time).

Mobile app: updates may be deployed at any time without notice.

Emergency interventions may be carried out at any time without notice.

Service interruptions do not entitle you to compensation.

Your options if you disagree

1.Continue using the service with the new terms
2.Delete your account before the changes take effect
3.Contact our support for any questions

Continued use of the service after modification constitutes acceptance of the new terms.

Protection of your data

In case of major modification or service discontinuation, we will give you the opportunity to export your personal data in a standard format.

Section · Chapter 11

Termination

Sect. 11 / 16

Your Nythy account may be terminated either by yourself or by Nythy in case of breach of these Terms. The procedures and consequences differ depending on the type of termination.

Termination by user

You may delete your account at any time, without justification, from the application settings.

Deletion procedure

1.Go to Settings > Account > Delete my account
2.Confirm your choice (double confirmation required)
3.Your deletion request is recorded

Recommendations before deletion

Download your data if you wish to keep it (Settings > Security > Data & privacy)
Finalize your ongoing reservations
Pick up your reserved baskets

30-day grace period

After your deletion request, a 30-day grace period begins. During this period:

Your data is not deleted immediately
You can continue to use the application normally
You can cancel the deletion at any time from settings
All your features remain accessible (reservations, posts, messages)

↶ To cancel deletion, go to Settings > Account > Cancel account deletion.

After 30 days

Upon expiration of the 30-day grace period, deletion becomes final and irreversible:

Your personal data is permanently erased
Your posts, comments and messages are deleted
Your ongoing reservations are automatically cancelled
You will no longer be able to access your account
You will no longer be able to recover your data

After final deletion, you will need to create a new account if you wish to use Nythy again.

Termination by Nythy

Nythy may suspend or terminate your account in case of breach of these Terms, without notice or refund.

Grounds for termination

Violation of acceptable use rules (section 4)
Fraudulent or abusive behavior
Non-compliance with contractual obligations
Creation of multiple accounts
Use of bots or automated scripts
Harassment or inappropriate behavior towards other users
Non-payment of commissions (for merchants)

Sanction levels

Minor breach

Written warning, then temporary suspension of 7 to 30 days depending on severity

•Moderate inappropriate content
•First offense against community rules

Serious breach

Immediate and permanent account suspension, with no possibility of appeal

•Fraud or scam
•Serious harassment
•Repeated violation after warning
•Identity theft

In case of suspension or termination, you will receive a notification by email explaining the reasons and, where applicable, the possibilities of appeal.

Right of appeal

If you believe that a suspension or termination is unjustified, you may contest the decision.

Appeal procedure

Send an email to [email protected] within 30 days of the notification
Indicate your account number and the reasons for your appeal
Attach any supporting documents if necessary

Appeal review

Your appeal will be reviewed by our legal team within 14 business days.

You will receive a reasoned response by email. Nythy's decision is final.

Data retention after termination

In accordance with legal obligations, certain data may be retained after your account termination.

Retention periods

Accounting data and invoices: 10 years (legal obligation)
Anti-fraud data: 3 years
Login and security logs: 1 year
Messages reported for moderation: 1 year (evidence in case of dispute)

This data is retained solely to comply with legal obligations and is no longer used for commercial purposes.

Section · Chapter 12

Governing law and jurisdiction

These Terms of Use are governed by French law, regardless of your place of residence or use of the service.

Applicable law

In accordance with European and French regulations, French law applies to the interpretation and execution of these Terms, including for users residing outside France.

Competent courts

In case of dispute and in the absence of an amicable agreement, French courts have exclusive jurisdiction.

Application of French law and international conventions ratified by France

This territorial jurisdiction clause applies even if you reside abroad.

Amicable dispute resolution

The European online dispute resolution platform (ODR), created by Regulation (EU) No 524/2013, has been closed since 20 July 2025 following Regulation (EU) 2024/3228. It can no longer be used to submit a complaint.

In the event of a dispute, we invite you to contact Nythy first so that an amicable solution can be sought. You may also consult information on available mediation and out-of-court dispute resolution mechanisms.

This information replaces the former reference to the European ODR platform, which is now obsolete.

Consumer rights

As a consumer, you benefit from the protections provided by the French Consumer Code and the European directive on consumer rights.

Section · Chapter 13

Changes to the Terms

Nythy reserves the right to modify these Terms of Use at any time to adapt to legal, technical or functional changes to the service.

Notification of changes

In case of significant changes to the Terms, we will notify you by:

Publication on nythy.com (Terms page)
In the mobile app if re-acceptance is required at sign-in
By email if the change has a significant impact on your rights

Significant changes are communicated with a minimum notice of 30 days before they take effect.

Minor changes (typographical corrections, clarifications) may be applied without notice.

Acceptance of changes

For material changes, explicit re-acceptance may be required at sign-in. Continued use without re-acceptance when required may limit access.

The version of the Terms accepted is recorded in your account and visible in your settings.

You can consult the current version of the Terms at any time from the dedicated page in the application or on our website.

Refusal of changes

If you do not accept the new terms, you must:

1.Stop using the service immediately
2.Delete your account from settings
3.Cancel your ongoing reservations if necessary

Deleting your account results in the deletion of your personal data in accordance with our privacy policy.

Effective date

Changes take effect on the date indicated in the notification. In the absence of a specific date, they apply 30 days after notification.

Pro Space

These provisions apply to partner merchants using the dedicated web space (nythy.com) and, where applicable, the merchant mobile app.

14.1 Merchant registration

Registration is on the merchant web space. Only essential fields are required at signup; legal and business profile details are completed later in Settings.

14.2 Verification

14.5 Order management

User reservations appear in your dashboard. Online payment uses Stripe Connect; in-store pickup may be offered per your configuration.

Process pending orders within a reasonable time

Commercial policy: free user cancellation up to 2 h before pickup (FAQ). Technical behaviour may vary by order status.

14.6 Payments and finances

Platform subscription via Stripe Billing (monthly or annual plan, amounts excl. VAT). Online sale payments via Stripe Connect (destination charges). Payouts configured in your Stripe dashboard.

Nythy does not access your bank data or identity documents.

14.8 Merchant obligations

14.9 Suspension and termination

Nythy may suspend or terminate a merchant account notably for:

Terms violation or fraud
Repeated user complaints
Food regulation breach
Prolonged inactivity or unpaid commission

14.10 Dashboard and statistics

Web overview (/merchant/dashboard) and dedicated Statistics page.

Free gifts between individuals

Nythy allows individuals to give their food surplus for free to other users to help fight waste.

Example photos or predefined images may be illustrative. The actual donation handed over must always match the title, description, category and condition shown in the listing.

Principle

Gifts between individuals are strictly free of charge. Any request for payment, financial consideration or money transfer in the context of a gift is prohibited and must be reported.

Donor's responsibility

The donor certifies that the products offered are fit for their intended use. For foodstuffs, the donor certifies that they are fit for consumption at the time of the gift. Nythy is not responsible for the condition of the products given. In case of any doubt about the quality of a product, the recipient must not consume it.

Rules applicable to food gifts

The rules below are based on EU Regulation No 1169/2011, the French Anti-Waste Law (AGEC) No 2020-105 of 10 February 2020, ANSES recommendations and DGCCRF practical guidelines (economie.gouv.fr).

Dates — official definitions
Use-By Date (DLC — Date Limite de Consommation)

Official wording: "use by…". A mandatory deadline set by EU Regulation No 1169/2011. Beyond this date, the product may be microbiologically dangerous. It may no longer be sold, given or consumed. On Nythy, any gift whose use-by date has passed or falls within less than 48 hours is automatically prohibited.

Best-Before Date (DDM — Date de Durabilité Minimale)

Official wording: "best before…" (formerly DLUO). An indicative date: after it passes, the product may lose some taste or nutritional qualities, but presents no health risk if the packaging is intact. Gifting products past their best-before date is legally permitted and contributes to the fight against food waste (French AGEC law, Decree No 2022-1440 of 17 November 2022).

Prohibited from being given
Any product whose use-by date (DLC, "use by") has passed or falls within less than 48 hours
Any product showing a degraded appearance, abnormal smell or any sign of deterioration making it unfit for consumption
Products that have undergone a break in the cold chain (prolonged exposure to room temperature, transport without an insulated bag, etc.)
Any thawed and then refrozen product
Alcohol, medicines and any product whose transfer is regulated by law
Allowed to be given
Non-perishable products stable at room temperature (canned goods, dry products, biscuits, coffee, pasta, rice, sugar, etc.)
Products whose best-before date (DDM) has passed, provided the packaging is intact and the product looks normal — they remain safe to consume
Packaged fresh products with at least 48 hours remaining before the use-by date and whose cold chain has been maintained
Homemade products, under the donor's sole responsibility, to be consumed on the same day as the handover
Cold chain — key rules (ANSES / DGCCRF)

A break in the cold chain allows pathogenic micro-organisms to multiply, making the food unfit for consumption. The donor attests to compliance with these rules when publishing the gift.

Refrigerated products kept between 0 °C and 4 °C (coldest zone of the fridge) until the moment of handover
Frozen products kept at −18 °C minimum
Never refreeze a thawed product — once thawed, consume within 3 days maximum
Thaw only in the fridge, in a microwave (defrost setting) or by immediate cooking — never at room temperature
Do not leave a sensitive product at room temperature for more than 2 hours before refrigerating
Transport fresh and frozen products in an insulated bag until handed over to the recipient

Nythy reserves the right to refuse or remove any gift listing that does not comply with these rules or that presents a health risk.

Gift life cycle

A gift can be collected only during the daily time slot indicated (10am–7pm, Paris time). Outside this slot, the gift remains visible but cannot be collected. Non-perishable products may be reactivated automatically; fresh products require a new confirmation from the donor; homemade products cannot be reactivated the next day.

Handover safety

The handover must take place in an open location or a common area (street, square, in front of a shop, building hall or ground floor).
Users must never enter another user's private home or let another user into their own home.
No payment must be made.
Personal information (precise address, phone number, bank details) must not be shared.
If any behaviour makes the user uncomfortable, before or during the meeting, they must not proceed and must report it to Nythy.

Nythy does not organise and is not present at handovers between users. The physical meeting is the sole responsibility of the users concerned.

Environmental impact

Each gift makes it possible to estimate the CO₂ saved, based on ADEME data. Your personal statistics are visible in your profile.

These provisions apply to partner associations using the dedicated web space (registration on nythy.com). The mobile app provides donations, reservations, events and messaging; the community feed is available in the app but is not fully mirrored in the web sidebar.

16.1 Association registration

Not all generic "rejected" or "under review" statuses are available for associations. Reactivation after suspension is performed manually by the Nythy team. Nythy may limit certain actions while the account is not verified.
